Terms of Service

The terms governing your access to and use of jonsenllc.com, the Client Portal, Team Portal, and content we publish.

1. The Site vs. Consulting Services

The Site provides information about our practice, a blog, a contact form, and secure portals for clients and personnel. Consulting services are governed by a separate written engagement agreement (e.g., proposal, statement of work, or master services agreement) between Jonsen LLC and the client. If these Terms conflict with an engagement agreement, the engagement agreement controls for the services it covers.

2. Eligibility

The Site is intended for business users aged 18 or older. By using the Site, you represent that you meet this requirement.

3. Accounts and Portal Access

  • Client Portal. Access is provided to clients and authorized client personnel via secure email magic link. You are responsible for maintaining control of the email account used to sign in and for all activity under your session. Notify us immediately at hello@jonsenllc.com of any unauthorized access.
  • Team Portal. Access is limited to Jonsen LLC personnel via company single sign-on and is additionally governed by internal policies.
  • We may suspend or terminate portal access at any time for security reasons, violation of these Terms, or the end of a client engagement.
  • You may not share portal credentials or sign-in links, probe or bypass authentication, or access another user's data.

4. Acceptable Use

You agree not to:

  • Violate any applicable law or the rights of others;
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems, or test their vulnerability without written authorization;
  • Interfere with the Site's operation (including denial-of-service attacks, scraping at disruptive volume, or introducing malware);
  • Use the Site to transmit spam or unlawful, infringing, or harmful content;
  • Misrepresent your identity or affiliation, including in contact form submissions;
  • Copy, resell, or commercially exploit Site content except as permitted below;
  • Use automated means to harvest data about our team or clients.

5. Intellectual Property

The Site and its content — including text, blog posts, case studies, graphics, logos, brand assets, photography, and software — are owned by Jonsen LLC or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to view and use the Site for its intended purpose. You may share links to and brief excerpts of our blog content with attribution. Our brand assets page describes permitted press and partner uses; any other use of our marks requires written permission.

Content you submit through the contact form or portals remains yours; you grant us a license to use it as needed to respond to you, provide services, and operate the Site, consistent with our Privacy Policy.

6. Blog and Informational Content

Content on the Site, including the blog, is provided for general informational purposes only. It is not legal, financial, security, or professional advice for your specific situation, and reading it does not create a consulting engagement. Case studies reflect specific client circumstances; results vary and are not guarantees of outcome.

7. AI Features

Portions of the Site and portals may include AI-assisted features (such as assistants or generated dashboards). AI output can be inaccurate or incomplete and is provided as-is, for assistive purposes. Verify AI output before relying on it. Where AI features are available to you, you agree not to use them to generate unlawful content or to attempt to extract other users' data.

8. Third-Party Services and Links

The Site links to and is built on third-party services (including Google, Cloudflare, Microsoft, Supabase/Lovable, Notion, HubSpot, and LinkedIn). We are not responsible for third-party sites or services, and your use of them is governed by their own terms.

9. Privacy

Our collection and use of personal information — including analytics and advertising measurement on the Site — is described in our Privacy Policy. By using the Site, you acknowledge the practices described there.

10. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, JONSEN LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THIS SECTION DOES NOT LIMIT WARRANTIES EXPRESSLY MADE IN A SIGNED ENGAGEMENT AGREEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JONSEN LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). LIABILITY ARISING UNDER A SIGNED ENGAGEMENT AGREEMENT IS GOVERNED BY THAT AGREEMENT, NOT THIS SECTION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold harmless Jonsen LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

13. Termination

We may suspend or terminate your access to the Site or portals at any time, with or without notice, for conduct we reasonably believe violates these Terms or harms the Site, us, or others. Sections 5–12 and 14–16 survive termination.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved exclusively in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction there.

15. Changes to These Terms

We may revise these Terms from time to time. The "Last Updated" date will reflect the current version, and material changes may be announced on the Site. Your continued use of the Site after changes take effect constitutes acceptance.

16. General

These Terms, together with the Privacy Policy and any applicable engagement agreement, are the entire agreement between you and Jonsen LLC regarding the Site. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
